| September 18, 1999 ARTICLE I THE NAME OF THIS ORGANIZATION SHALL BE: BOWFISHING ASSOCIATION OF AMERICA, INC. (BAA) ARTICLE II - PURPOSE The purpose of the BAA shall be: To foster, expand, and perpetuate bowfishing and the spirit of fellowship among all archers and sportsmen, to encourage the use of the bow and arrow in hunting all legal fish and to conduct bowfishing tournaments. ARTICLE III - MEMBERSHIP To be eligible for membership a person must pay annual BAA dues. ARTICLE IV - MEMBERSHIP CLASS, DUES AND DUTIES A. General membership dues shall be $25.00 per year per household (member, spouse and children under 18) with one vote per membership. Duties include committee service as appointed by the President. It is the inherent duty of all members to enlist new members and promote the BAA. B. The membership reserves the right to suspend or expel from the BAA any member who in their opinion is guilty of acts unbecoming a sportsman. A 2/3 majority vote of the members in attendance at any regular meeting or special meeting is necessary. ARTICLE V - OFFICERS AND THEIR DUTIES A. Officers shall be President, Vice-President, and Secretary-Treasurer. B. The President shall conduct all BAA meetings, appoint all committees, and be responsible for initiating and developing the activities of the BAA including coordinating sanctioned tournaments. C. The Vice-President shall perform the duties of the President if the President is unable to act, chair the tournament committee and coordinate the State Representatives (Directors). D. The Secretary-Treasurer shall keep all records of the BAA, serve all notices of meetings, keep the minutes of all meetings, present a copy of said minutes to each member of the Board of Directors within two weeks of the meeting, maintain historical data, and present a written membership report at the annual meeting. In addition, the Secretary-Treasurer shall receive and disburse all monies of the BAA, keep current and accurate records of the receipts and disbursements, give written financial reports at all meetings, and submit a written annual financial report at the annual meeting, and in general perform the duties incident to the office. E. There shall be a Board of Directors consisting of the Officers, the Immediate Past President, and the State Representatives (Directors). F. BAA checks will require at least two signatures for validation. The President, Vice-President, and Secretary-Treasurer will have this responsibility. ARTICLE VI - BOARD OF DIRECTORS A. There shall be a Board of Directors consisting of the Officers, the Immediate Past President, and the State Representatives (Directors). B. The Board of Directors shall meet as deemed necessary by the President or any two other officers or directors with thirty days advance notice being sent to all officers and directors by the Secretary-Treasurer. The annual meeting shall also constitute a meeting of the Board of Directors. ARTICLE VII - ELECTIONS AND TERMS OF OFFICE A. Nominations and election of officers shall occur at the annual meeting. Additional nominations shall be solicited by mail prior to the annual meeting. B. Newly elected officers shall take office one month after elected. C. All officers and directors shall serve one year terms. D. In the event an officer or director position becomes vacant for any reason, the President or acting President shall appoint a replacement to serve the remainder of the term subject to the approval of the Board of Directors. E. Any officer or director may be removed from office upon determination by and approval of the Board of Directors at a special called meeting, if said officer or director is not performing the duties of the position upon a majority vote of the Board of Directors. ARTICLE VIII - FISCAL YEAR AND MEETINGS A. The fiscal year of the BAA shall begin January 1 of each year and end on December 31 of the same year. B. The annual meeting shall be the meeting scheduled to determine the tentative sanctioned tournament schedule, World Championship bids, and election of officers and directors. The meeting will be called by the President to take place between August 1, and December 31 and notice shall be sent to the membership by the Secretary-Treasurer no less than thirty days prior to the meeting. C. Special meetings shall be called, if deemed necessary, by the President, or any two officers or directors, and with no less than thirty days advance notice sent to the membership by the Secretary-Treasurer. ARTICLE IX - SANCTIONED TOURNAMENTS A. The BAA shall coordinate sanctioned tournaments throughout the United States by organizations and individuals willing to pay the sanction fee and administer the tournament. Coordination shall be in such manner to not conflict with other tournament dates that would be detrimental to the participation at all sanctioned events. B. The sanction fee is $75.00 per tournament. ARTICLE X - BOWFISHER OF THE YEAR The BAA will award the Bowfisher of the Year to the bowfisher that accumulates the highest point total for participation and placement in sanctioned events and the World Championship and citation fish submitted and approved by citation chairman according to the point schedule in effect for the respective year as adopted at the Annual Meeting. Bowfisher accumulating the second highest total will receive a runner-up award. ARTICLE XI - JUNIOR BOWFISHER OF THE YEAR The BAA Board of Directors will award the Junior Bowfisher of the Year to the bowfisher under the age of 16 based on facts considered in resume's submitted for nomination of the award. ARTICLE XII - TEAM OF THE YEAR The BAA will award the Team of the Year to the bowfishing team that accumulates the highest point total for participation and placement in sanctioned events and the World Championship according to the point schedule in effect for the respective year as adopted at the Annual Meeting. Team accumulating the second highest total will receive a runners-up award. ARTICLE XIII - WORLD CHAMPIONSHIP The BAA Board of Directors shall award the World Championship to the organization or individual that submits the most satisfactory bid at the Annual Meeting. The bid shall contain information concerning the site, functions, responsibilities and monies the organization is willing to accept for hosting the World Championship. After the bid is awarded the BAA and host will enter into a contract outlining the agreed upon site, functions, responsibilities and monies. Neither party may cause indebtedness to the other without approval of the BAA President and the host. ARTICLE XIV - PARTICIPATION Participation in any BAA function is strictly voluntary and with assumed liability by the participant with no recourse toward the Officers, Directors, and other members of the BAA. ARTICLE XV - AMENDMENTS TO THE CONSTITUTION This constitution may be amended by a two-thirds vote of the membership present at the Annual Meeting or a special meeting called for that purpose. Advance notice of no less than thirty days is required, and shall be mailed by the Secretary-Treasurer. |
